Where two or more people wish to carry on a business within a limited company a shareholders agreement should be used. The agreement sets out the duties and responsibilities of the shareholders. The shareholders may be either all individuals or all companies or a combination of both individuals and companies. This shareholders agreement is not appropriate for companies with more than one class of shares.
Limited liability partnership agreement - Price: £500.00
This limited liability partnership agreement (LLP) provides a framework under which the members should conduct themselves at all times including provisions dealing with issues such as management finances exit and member regulation. This document is suitable for most limited liability partnerships but it will not be appropriate if any member of the LLP is not an individual person.
Partnership agreement - Price: £500.00
This partnership agreement is drafted to sit alongside the provisions of the Partnership Act 1890. The Partnership Act 1890 will apply certain rules to all partnerships (other than LLP s) which will apply automatically unless varied by express agreement. Often the 1890 Act rules are not appropriate for modern partnerships. This document is suitable for small to medium sized partnerships of no more than twenty partners. Please note that this document is not suitable for those intending to form a limited liability partnership.

This is a letter of appointment for a non-executive director. Non-executive directors are not involved in the day-to-day running of the business but should help the company by offering an independent view on areas such as performance standards and strategy. It also contains obligations to promote the success of the company in accordance with the latest requirements of company law.
